(formerly Cuchara Inc), an active Florida registered “domestic for profit ” corporation, has its headquarters at 22588 Scenic Loop Rd, San Antonio TX 78255-2253, employs between 25 and 100 people, has a current website (www.carrconsultingpa.com), is owned privately, has an annual revenue of between one and ten million US dollars and a San Antonio phone contact number of +1-210-694-7884. Its links to the sleazy hard core porn industry in New Zealand, particularly companies directed by “NZ Porn King” Steve Crow and John M Carr, and multi-million dollar property developments, is of vital interest to the Society, NZ public and the government agencies currently investigating his convoluted web of companies.

RSA diggers blame pornographer Steve Crow for closure of clubrooms

The Last Post has sounded for the battle-scarred New Plymouth RSA club.

The Taranaki Daily News (Wed.10 Feb) has reported that RSA club members are “agreed that what had started the friction [that had led to the closure of the clubrooms] was Steve Crow’s role as a pornographer and his intentions to advertise erotica on a billboard at the RSA site.” 

“Under orders from its national executive, the debt-plagued club which has proudly served old soldiers and their families for more than 90 years ceased trading at midnight on Monday.

It now looks extremely unlikely the Devon St East clubrooms will re-open – and already, fellow chartered club the New Plymouth Club has taken over, offering all 1000 RSA members full access to its Gill St premises.”

John M Carr – Steve Crow and 149,900 Eden Digital Ltd porn XXX shares

On Sunday 31 January 2010, the directors of hardcore porn company Eden Digital Limited issued 149,900 shares to porn mother company – CVC Group Limited – which already owned it. The CVC Group now owns all 150,000 shares. “Porn King” Steve Crow and John M Carr are directors of both companies. They have not supplied to the Registrar of Companies a share issue certificate signed by both directors of Eden Digital. It certainly does not appear on the Companies Office website as of 19 February 2009. The Companies Act 1993 states:

John M Carr – Cheyenne Insurance Co. (NZ) Ltd $5.5 M property bonanza

New Zealand Companies Office records show that on 9 November 2004 John M Carr, company director residing in the United States of America, acquired all 50,000 shares in Cheyenne Insurance Company (NZ) Limited of which he had been sole director since 24 May 1991 (It was incorporated on 28/09/90). Prior to the share transfer and as far back as at least 17 April 2001, Angelica Carr held 49,999 shares and BBS Employment Plans Inc., a Florida registered corporation with John M Carr as Principal and Director, held the remaining one share (the latter corporation was dissolved in 1994).

John Malcolm Carr is founding co-director of the New-Zealand registered company Carrlandazz Holdings Ltd which is 50% owned by PJ Digital Ltd which he directs and whose owner is Florida-registered corporation Carr Consulting P.A. John M Carr is both Principal and registered agent for Carr Consulting P.A., a professional association authorised by Florida State law only to render financial planning advice to clients in Florida. The beneficial shareholder of Carr Consulting P.A. appears to be John M Carr. Carrlandazz Holdings Ltd (Co. No. 1241246), incorporated on 19 July 2002, has since then purchased property in Cromwell and subsequently sold off 29 sections (listed below) for a considerable profit – of which it took 50%. Its parent company PJ Digital Limited and ultimately its parent Carr Consulting P.A. benefited from the land grab and sales.

John M Carr – Carr Consulting P.A. and Fraud Examination

Fraud: “Wrongful or criminal deception intended to result in financial or personal gain” (Oxford Pocket Dictionary of Current English).

John M Carr was once a director and 99% owner of the New Zealand registered company “Association of Certified Fraud Examiners Limited”. It was struck of the Register of Companies in 2005 by the Registrar of Companies because its directors failed to file annual returns (see below). He was also director two other such companies that have been struck off the register due to his failure to file annual returns (see below).

John M Carr, Cornish Point Development Limited, tax and property

John Malcolm Carr who holds both New Zealand and United States citizenship owns Cornish Point Development Limited (Co. No. 841571, Incorp. 24/02/97) which is the listed proprietor of at least seven New Zealand properties. The tax residency status of John M Carr has become a critical issue in the ongoing investigations by various NZ agencies, as it has become clear that he is involved through his companies in major property development – a number of which are owned by a Florida-based corporation of which he is both Principal and registered agent. (One automatically has New Zealand Tax Residency status if one resides in the country for more than 183 days over any 12-month period). His Attorney, Alan Bevin McKay, of Checketts McKay Law Limited, Cromwell, was the agent who acted for him and the company he directs – Shelf Company No. 10 Ltd – in the purchase of a 3 million dollar property – 92 M Greenwood Rd, Pakiri, near Wellsford - on 4 October 2005. Another company Mr Carr directs – Kinetiq Ltd – which is owned by the Florida corporation, owns two Auckland properties, one a luxury accomodation unit on Waiheke Island.

Buildwise Limited (In Liq) No funds available for unsecured credtors

Buildwise Limited (Co. No. 714048), directed by David Bruce Crow of Inglewood, was placed into voluntary liquidation on 3 July 2009 owing a minimum of 60 known unsecured creditors, as of 7 July 2009, hundreds of thousands of dollars. The Liquidator’s latest report, dated 11 February 2010 states: “It is unlikely that there will be funds available for distribution to unsecured creditors.” For the period to 3 January 2010 payments of $9,637 have been made from assets realised, including $7,522.50 to the Liquidator for his services.

David Crow, brother of “Porn King” Steve Crow, is director of 435 Devon Limited which purchased the RSA property and clubrooms at 435 Devon Street, in 2008 for $1.9 million. David Crow owns 10% of the company shares, his wife Catolyn owns 40% and his bother Steve owns 50%. David Crow of 418 Bedford Road North, Inglewood 4386 is also director and owner of Ezisoft Computer Systems Limited (Co. No. 302576, incorporated 3 July 1966). This company is one of the many unsecured creditors of Buildwise Limited.

John M Carr – His Company "Strike Bowl Queenstown Ltd" Struck off

Yesterday the Registrar of Companies struck Strike Bowl Queenstown Ltd (Co. No. 1384447) off the New Zealand Register of Companies. The IRD had lodged an objection within the 20-working day time limit following the public notification of his intention to remove it on 18 October 2007. It appears that the IRD has either succeeded in sorting out the matters of tax owed by Mr Carr’s company, or, as we suspect is more likely, has just given up pursuing the debt as the company director cannot be contacted by the National Enforcement Unit of the Companies Office at any known New Zealand address, including his so-called “residential address” 14/31 Greenlane Road, Remuera, Auckland” and the company’s “registered office” – a “virtual office” at “Unit 13, 33-35 Apollo Drive, Mairangi Bay, Auckland”. Strike Bowl Queenstown Ltd was incorporated by John Malcolm Carr on 28 Aug. 2003 and the last Annual Return he filed was dated 31 July 2006. The Society believes that the integrity of the Register and the Companies Office’s enforcement agency – the National Enforcement Unit – is open to question when false, out-of-date and misleading information is allowed to go unchecked.

John M Carr – Campaign Treasurer for Orange County (FL) Mayoral candidate Milfred Fernandez and District Commissioner Tony Ortiz

John M Carr, co-director with “Porn King” Steve Crow of New Zealand registered porn company Eden Digital Ltd and its NZ ‘mother company’ CVC Group Ltd,  is currently serving as campaign treasurer for mayoral candidate Milfred Fernandez in her 2010 Orange County election campaign in Florida. He was also the campaign treasurer from Jan. 2007 to Feb. 2008 for Antonio (“Tony”) L. Ortiz, a distinguished former law enforcement officer, who narrowly won the election for Orange County’s Commissioner seat for District 2. The Society has filed a number of complaints with the Registrar of Companies concerning the New Zealand registered companies Mr John Malcolm Carr, “resident” of 14/31 Greenlane Road, Remuera, Auckland, NZ  – directs. These include NZ companies wholly owned by Florida-based Carr Consulting P.A. of which Mr Carr is Principal and registered agent.

John M Carr & more defunct NZ Petroleum Exploration Ltd Shareholders

John M Carr has been a director of New Zealand Petroleum Exploration Limited [NZPEL] (Co. No. 21102, Incorp. 3 July 1968) since 9 November 1994 and according to the latest Financial Report (Year ending 31 March 2007) holds 21,000 ordinary shares in the company. (The 2008 and 2009 Reports have not yet been registered with the NZ Companies Office). The largest current shareholder of this company (known as Triton Oil NZ Ltd prior to 16 December 1996) is Triton Energy Corporation, a defunct entity, that is recorded in the 2010 Annual Return as holding 5,752,130 of NZPEL’s 19,200,688 shares. The sixth largest parcel of NZPEL shares is currently listed as held by another defunct corporation Triton Energy Limited which was purchased by Amerada Hess Corporation in August 2001 which then changed its name to Hess Corporation on 8 May 2006.

A careful examination of the share listing on the 2010 Annual Report for New Zealand Petroleum Exploration Limited [NZPEL] and its latest Financial Report for the Year ended 31 March 2007, registered online with the NZ Companies Office 21 January 2010, reveals disturbing evidence of breaches of the Companies Act 1993 by the company directors.
