Prosecuting directors of foreign-owned NZ-registered companies

John Malcolm Carr CPA, an American businessman, faced eight criminal charges in Courtroom 2 of the Auckland District Court at 10AM on Tuesday 31 August 2010, involving offences he was alleged to have committed under the Financial Reporting Act 1993.
The charges relate to four companies that he is sole director of, that up until 16 December 2009 were ALL listed on the NZ Companies Office On-line Records (www.companies.govt.nz) as owned by a US-corporation Cuchara Inc. registered in Florida. The four NZ-registered companies are Velocity Partners Ltd, Shelf Company No 10 Ltd, First Virtual Deposit and Nominee Company Ltd, and PJ Digital Ltd: all owned by the foreign entity Cuchara Inc., that Mr John M Carr CPA directs. The name Cuchara Inc. was changed by John M Carr in 1999 to Carr Consulting P.A., but this change was not recorded on the NZ Companies Office Records as required by law until 16/12/2010 (see below). An American businessman, John Malcolm Carr, who has NZ-US dual citizenship and is a director of New Zealand companies linked to pornographer Stephen (Steve) Peter Crow, is intending to plead guilty to eight criminal charges involving breaches of the Financial Reporting Act 1993, when he faces the Auckland District Court at 10 AM on Tuesday 31 August. This is what his lawyer, Mr Alan Bevan McKay of Checketts McKay Law, Cromwell, informed the Deputy Registrar of the Court via email on Thursday 12 August, when the case was called in the Court.

John M Carr – director of Eden Digital Ltd, a hardcore porn promoter

John Malcolm Carr is sole director of Eden Digital Ltd (formerly called Vixen TV Ltd) which imports and distributes hardcore pornography sleaze publications into New Zealand. His former co-director Stephen (Steve) Peter Crow was recently banned for four years from being a company director, or being involved in the management or promotion of a company, by the Ministry of Economic Development. Eden Digital Ltd is currently distributor of many hardcore porn DVD titles including four recently classified R18 by the Office of Film and Literature Classification in its June 2010 List of Decisions. All have been given the descriptive note “Contains explicit sex scenes”. The censors required one of these DVDs originating from the United States to be cut to remove its depiction of objectionable content that promotes urination in conjunction with sexual activity. The DVD in its excised version contains an additional component not present in the unexcised version – a Notice promoting the hardcore NZ porn magazine NZX founded and promoted by “Porn King” Steve Crow.
John M Carr, who holds US citizenship and owns a number of NZ registered companies, has had a financial interest in the importation and promotion of hardcore porn sleaze for many years, working closely with his friend Steve Crow, who until his recent 4-year ban, co-directed CVC Group Ltd with him. CVC Group Ltd, directed by John M. Carr, owns Eden Digital Ltd. Eden Digital Ltd has its registered office at 2/18b Triton Drive, Albany, Auckland 1025 – a property owned by PJ Digital Ltd, a company directed and owned by John Malcolm Carr. Mr Carr gives his own residential address for the latter company as Flat 14 Remuera Mews, 31 Green Lane East, Remuera, Auckland, 1050 (Checketts McKay Trustees Ltd is the trustee of this property). PJ Digital Ltd has its registered office at Unit 13, 33 -35 Apollo Drive, Mairangi Bay, Auckland , New Zealand.
John M Carr CPA – Cheyenne Insurance Co. (NZ) Ltd $5.5 M property bonanza

New Zealand Companies Office records show that on 9 November 2004 John M Carr CPA, a company director residing in the United States of America, acquired all 50,000 shares in Cheyenne Insurance Company (NZ) Limited of which he had been sole director since 24 May 1991 (It was incorporated on 26/07/90). Prior to the share transfer and as far back as at least 17 April 2001, Angelika Carr held 49,999 shares and BBS Employment Plans Inc., a Florida registered profit corporation with John Malcolm Carr CPA as Principal and Director, held the remaining one share (the latter corporation was dissolved in 1994).

John M Carr, Steve Crow, Porn & ‘new’ Carr-based funding sources

On 20 April 2010 John Malcolm Carr (whose residential address is listed as 14/31 Greenlane Road, Remuera, Auckland on the NZ Companies website) – registered his purchase of all the shares for each of the four NZ-registered companies he directs that were formerly all 100% owned by Carr Consulting P.A. (a Florida registered privately-owned corporation of which he is CEO and Chief Compliance Officer). These four companies he is sole director of and which he now owns personally, are (1) Velocity Partners Ltd, (2) First Virtual Deposit and Nominee Company Ltd, (3) Shelf Company No. 10 Ltd, and (4) PJ Digital Ltd. The first company owns a 39% stake in CVC Group Ltd which owns hard core porn companies Eden Digital Ltd, co-directed by John Carr and Steve Crow, Sidefx Ltd and Vixen Publications Ltd – both directed by Steve Crow. A company Steve Crow directs, HWGA Co. Ltd owns a 40% stake in CVC Group Ltd and Electronic Publishing Ltd directed by John Carr owns 9%. CVC Group also owns two other porn companies that were directed by Steve Crow that are in liquidation. Two other porn companies directed by Crow have recently been struck off the register of companies by the Registrar following the completion of liquidation proceedings. Prior to the recent share transfers – John Malcolm Carr stated that Carr Consulting P.A. has a revenue of $1 – 10 M, that he is its CEO and Chief Compliance Officer and that the company has 25-100 employees.

John Malcolm Carr CPA is founding co-director of the New-Zealand registered company Carrlandazz Holdings Ltd which is 50% owned by PJ Digital Ltd which he directs and whose owner is Florida-registered corporation Carr Consulting P.A. John M Carr is both Principal and registered agent for Carr Consulting P.A., a professional association authorised by Florida State law only to render financial planning advice to clients in Florida. The beneficial shareholder of Carr Consulting P.A. appears to be John M Carr. Carrlandazz Holdings Ltd (Co. No. 1241246), incorporated on 19 July 2002, has since then purchased property in Cromwell and subsequently sold off 29 sections (listed below) for a considerable profit – of which it took 50%. Its parent company PJ Digital Limited and ultimately its parent Carr Consulting P.A. benefited from the land grab and sales.

John M Carr, Cornish Point Development Limited, tax and property

John Malcolm Carr who holds both New Zealand and United States citizenship owns Cornish Point Development Limited (Co. No. 841571, Incorp. 24/02/97) which is the listed proprietor of at least seven New Zealand properties. The tax residency status of John M Carr has become a critical issue in the ongoing investigations by various NZ agencies, as it has become clear that he is involved through his companies in major property development – a number of which are owned by a Florida-based corporation of which he is both Principal and registered agent. (One automatically has New Zealand Tax Residency status if one resides in the country for more than 183 days over any 12-month period). His Attorney, Alan Bevin McKay, of Checketts McKay Law Limited, Cromwell, was the agent who acted for him and the company he directs – Shelf Company No. 10 Ltd – in the purchase of a 3 million dollar property – 92 M Greenwood Rd, Pakiri, near Wellsford - on 4 October 2005. Another company Mr Carr directs – Kinetiq Ltd – which is owned by the Florida corporation, owns two Auckland properties, one a luxury accomodation unit on Waiheke Island.
John M Carr – His Company "Strike Bowl Queenstown Ltd" Struck off

Yesterday the Registrar of Companies struck Strike Bowl Queenstown Ltd (Co. No. 1384447) off the New Zealand Register of Companies. The IRD had lodged an objection within the 20-working day time limit following the public notification of his intention to remove it on 18 October 2007. It appears that the IRD has either succeeded in sorting out the matters of tax owed by Mr Carr’s company, or, as we suspect is more likely, has just given up pursuing the debt as the company director cannot be contacted by the National Enforcement Unit of the Companies Office at any known New Zealand address, including his so-called “residential address” 14/31 Greenlane Road, Remuera, Auckland” and the company’s “registered office” – a “virtual office” at “Unit 13, 33-35 Apollo Drive, Mairangi Bay, Auckland”. Strike Bowl Queenstown Ltd was incorporated by John Malcolm Carr on 28 Aug. 2003 and the last Annual Return he filed was dated 31 July 2006. The Society believes that the integrity of the Register and the Companies Office’s enforcement agency – the National Enforcement Unit – is open to question when false, out-of-date and misleading information is allowed to go unchecked.

John M Carr CPA, co-director with “Porn King” Steve Crow of New Zealand registered porn company Eden Digital Ltd and its NZ ‘mother company’ CVC Group Ltd, is currently serving as campaign treasurer for mayoral candidate Mildred Fernandez in her 2010 Orange County election campaign in Florida. He was also the campaign treasurer from Jan. 2007 to Feb. 2008 for Antonio (“Tony”) L. Ortiz, a distinguished former law enforcement officer, who narrowly won the election for Orange County’s Commissioner seat for District 2. The Society has filed a number of complaints with the Registrar of Companies concerning the New Zealand registered companies Mr John Malcolm Carr, “resident” of 14/31 Greenlane Road, Remuera, Auckland, NZ – directs. These include NZ companies wholly owned by Florida-based Carr Consulting P.A. of which Mr Carr is Principal and registered agent.
